Terms
Effective Date: July 1, 2025
These PipesHub Platform Terms (the "Agreement") govern access to and use of
PipesHub's hosted products and services by the customer identified in an applicable
Order Form, registration flow, or account signup ("Customer"). This Agreement is entered
into between PipesHub, Inc. ("PipesHub") and Customer.
This Agreement is designed to cover PipesHub's:
• Community Free Edition
• SaaS / Cloud Service
• Customer-Managed VPC Deployment (including on-premise or customer cloud
deployments managed within Customer's environment)
If an individual accepts this Agreement on behalf of a company or other legal entity, that
individual represents that they have authority to bind that entity. If that individual does not
have such authority, or does not agree to this Agreement, they must not access or use the
applicable Services.
Important open-source clarification:
PipesHub distributes certain software under the Apache License 2.0. Any software, source code, or other materials that PipesHub expressly makes available under Apache 2.0 are licensed under that open-source license, not under the restrictive portions of this Agreement. This Agreement governs hosted services, commercial subscriptions, managed deployments, support, proprietary cloud features, and other offerings that are not expressly licensed to
Customer under Apache 2.0.
1. Scope and Agreement Structure
This Agreement establishes the legal terms for use of PipesHub's hosted services,
managed deployments, APIs, connectors, agents, workflow automation features,
documentation, and related support and professional services, as applicable (collectively,
the "Services").
An "Order Form" means a mutually executed order form, quote, statement of work, online
checkout, or similar commercial document that identifies the applicable Services,
deployment model, subscription term, support tier, usage limits, or fees.
Each Order Form is incorporated into this Agreement. If there is a conflict between this
Agreement and an Order Form, the Order Form controls for the specific commercial or
operational terms it addresses.
Nothing in this Agreement narrows or overrides rights that Customer receives under any
separately identified open-source license.
2. Offerings Covered by this Agreement
2.1 Community Free Edition
PipesHub may make available a free community edition, developer edition, or similar free-
use version of the Platform (the "Community Edition"). The Community Edition is
intended for self-managed use and does not include any PipesHub-managed service.
To the extent any part of the Community Edition is expressly licensed under the Apache
License 2.0, that part is governed by Apache 2.0. Except where PipesHub expressly
agrees otherwise in writing, PipesHub does not host, operate, monitor, maintain, or
support the Community Edition on Customer's behalf.
Customer is solely responsible for the deployment, configuration, administration, security,
maintenance, and operation of the Community Edition in its own environment.
Unless otherwise expressly stated by PipesHub in writing, the Community Edition is
provided "as is", without service credits, uptime commitments, implementation services,
or guaranteed support response times.
2.2 SaaS / Cloud Service
For the hosted SaaS offering, PipesHub hosts and operates the applicable Services in
infrastructure controlled by PipesHub or its cloud providers. Customer receives a
subscription-based right to access and use the Services during the applicable
subscription term, subject to this Agreement and the applicable Order Form.
2.3 Customer-Managed VPC Deployment
For customer-managed VPC, on-premise, or customer-cloud deployments ("Customer
Deployment"), PipesHub provides software, containers, deployment artifacts, updates, or
managed application services for use within infrastructure controlled by Customer or
Customer's cloud provider. Customer remains responsible for its cloud account,
networking, compute, storage, observability, IAM configuration, backup settings, and
other environment-level controls unless the parties expressly agree otherwise in writing.
If any component of a Customer Deployment is expressly licensed under Apache 2.0,
Customer's rights in that component are governed by Apache 2.0. Commercial terms for
support, managed services, SLAs, proprietary modules, and deployment assistance
remain governed by this Agreement and the applicable Order Form.
3. License and Permitted Use
Subject to Customer's compliance with this Agreement and any applicable Order Form,
PipesHub grants Customer a limited, non-exclusive, non-transferable, non-sublicensable
right during the applicable term to:
• access and use the SaaS Services;
• use no-charge hosted offerings made available by PipesHub; or
• deploy and use a Customer Deployment,
solely for Customer's internal business purposes and in accordance with the applicable
documentation, technical requirements, and usage limits.
Customer may permit its employees, contractors, and other authorized users to use the
Services on Customer's behalf, and Customer remains responsible for their acts and
omissions under this Agreement.
Except as expressly authorized in an Order Form or partner agreement, Customer may not
resell, white-label, sublicense, timeshare, or provide the hosted Services or proprietary
commercial features to unaffiliated third parties as a standalone service.
For clarity, the restrictions in this Section do not limit any rights Customer may have under
Apache 2.0 with respect to software that PipesHub has expressly released under that
license.
4. Restrictions
Customer will not, and will not permit any third party to:
• reverse engineer, decompile, disassemble, or attempt to derive the source code, non-
public APIs, trade secrets, or underlying structure of the hosted Services or proprietary
commercial components, except to the limited extent such restriction is prohibited by
applicable law;
• modify, translate, or create derivative works of the hosted Services or proprietary
commercial components, except as expressly permitted by PipesHub;
• access or use the hosted Services to build a competing hosted service using PipesHub's
proprietary service components;
• remove or obscure proprietary notices from the hosted Services or proprietary
commercial materials;
• circumvent authentication, security controls, usage limits, or technical restrictions applicable to the hosted Services;
• use the Services in violation of applicable law or regulation;
• use the Services to store, transmit, or facilitate malware, spam, abusive content,
deceptive activity, or unauthorized access to third-party systems;
• misrepresent AI-generated output as human review, approval, or authorship where such
representation would be deceptive or unlawful; or
• use the Services in a manner that materially interferes with the security, integrity, or
operation of the Platform.
This Section applies to hosted services, proprietary commercial features, and other non-
open-source parts of the Platform. It does not restrict Customer's rights under Apache
2.0 to reproduce, modify, distribute, or create derivative works of software that PipesHub
has expressly licensed under Apache 2.0.
5. Customer Responsibilities
Customer is responsible for:
• the accuracy, legality, and integrity of data, content, prompts, instructions, workflows, and
configurations submitted to or processed by the Services;
• obtaining all required rights, permissions, notices, approvals, and consents needed to
connect third-party systems and provide Customer Materials to PipesHub;
• managing internal authorization for automated actions, workflow execution, and agent
behavior configured by Customer;
• protecting account credentials and maintaining reasonable security controls on its side; and
• ensuring its use of the Services complies with applicable privacy, employment, export,
sector-specific, and AI-related laws and regulations.
Customer is responsible for the acts and omissions of its users and administrators.
6. Third-Party Systems and Dependencies
The Services may interoperate with third-party software, APIs, identity providers, cloud
platforms, databases, model providers, and other external systems ("Third-Party
Services"). Customer acknowledges that PipesHub is not responsible for the availability,
performance, security, or policy changes of Third-Party Services.
Customer is solely responsible for obtaining and maintaining any rights, licenses, tokens,
credentials, scopes, or approvals required for use of Third-Party Services with the
Platform.
If a feature depends on a Third-Party Service, PipesHub is not responsible for outages,
latency, model changes, API changes, connector limitations, or degraded functionality
caused by that third party.
7. Support, SLA, and Service Boundaries
7.1 Support
PipesHub will provide support for paid Services in accordance with the support tier,
service description, or service level agreement identified in the applicable Order Form or
support policy.
Unless otherwise agreed in writing, support excludes:
• custom development or bespoke feature work;
• customer-specific integrations beyond documented product behavior;
• issues caused by unsupported customer environments or third-party systems;
• beta or preview features;
• training, advisory, or architecture services; and
• remediation of issues caused by misuse, unauthorized modification, or failure to follow
documentation.
7.2 Community and Open-Source Support
Apache 2.0-licensed software may be used, modified, and redistributed by Customer in accordance with that license. Unless PipesHub separately commits in writing, PipesHub does not provide SLA-backed support, uptime commitments, or service credits for open-source software or community support channels.
7.3 Suspension for Security or Abuse
PipesHub may suspend access to the Services, in whole or in part, if reasonably
necessary to prevent security harm, unlawful conduct, platform abuse, material breach,
non-payment, or risk to PipesHub, Customer, or other users. PipesHub will use reasonable
efforts to provide notice when practicable.
For clarity, suspension of hosted Services does not terminate Customer's rights under
Apache 2.0 in software already distributed to Customer under that license.
8. Fees and Payment
Customer will pay the fees set forth in each applicable Order Form ("Fees"). Unless
otherwise stated in the Order Form:
• Fees are invoiced in advance;
• invoices are due within thirty (30) days of receipt;
• Fees are non-cancellable and non-refundable, except as expressly stated in this
Agreement; and
• late undisputed amounts may accrue interest at the lesser of 1.5% per month or the
maximum amount permitted by law.
If Customer disputes an invoice in good faith, Customer will timely pay the undisputed
portion and the parties will work in good faith to resolve the dispute.
Fees do not include taxes, duties, levies, or similar governmental charges. Customer is
responsible for all such amounts except taxes based on PipesHub's net income.
No fee is required to exercise rights granted under Apache 2.0 with respect to software
that PipesHub has distributed under that license. PipesHub may, however, charge for
hosted services, support, proprietary modules, managed deployments, or other
commercial offerings.
9. Ownership and Intellectual Property
9.1 PipesHub IP
As between the parties, PipesHub and its licensors retain all right, title, and interest in and
to the Services, documentation, software, connectors, agent frameworks, templates,
workflows, usage analytics, improvements, and all related intellectual property rights.
However, this Section does not alter any license rights granted to Customer under Apache
2.0 for software that PipesHub has expressly released under that license.
9.2 Customer Materials
As between the parties, Customer retains all right, title, and interest in and to Customer's
data, content, files, prompts, instructions, configurations, and other materials submitted
to or processed by the Services ("Customer Materials"), including Inputs and Outputs to
the extent owned by Customer under applicable law.
9.3 Feedback and Open-Source Contributions
If Customer provides general product suggestions, enhancement requests, or other
feedback outside of a contribution to PipesHub's open-source codebase, PipesHub may
use that feedback without restriction or obligation, and Customer grants PipesHub a
perpetual, irrevocable, worldwide, royalty-free right to use and incorporate such feedback
into its products and services.
If Customer intentionally submits code, documentation, or other contributions for inclusion
in a PipesHub project that PipesHub identifies as Apache 2.0-licensed, those
contributions will be governed by the applicable open-source contribution and license
terms for that project, unless the parties expressly agree otherwise in writing.
9.4 Aggregated and Usage Data
PipesHub may collect service telemetry, usage data, logs, operational metrics, and
performance information necessary to provide, secure, support, bill for, and improve the
Services. PipesHub may also use aggregated and de-identified information that does not
identify Customer or any individual for analytics, benchmarking, product improvement,
security, and business operations.
9.5 Trademarks
Except as expressly stated by PipesHub in writing, no license is granted to Customer to
use PipesHub's trade names, trademarks, logos, or service marks, except for reasonable
and customary referential use permitted by law or any applicable open-source license
notice requirements.
10. Inputs, Outputs, and AI Features
Customer may submit prompts, instructions, or other inputs ("Inputs") to AI-enabled
features and may receive generated responses, summaries, actions, recommendations, or
other outputs ("Outputs").
Customer is responsible for:
• ensuring it has the necessary rights to submit Inputs;
• reviewing Outputs before relying on them; and
• determining whether Outputs are appropriate for operational, legal, compliance, financial,
HR, customer-facing, or other business-critical use.
Customer acknowledges that AI-enabled features may generate inaccurate, incomplete,
inconsistent, insecure, biased, or offensive Outputs and that Outputs may not be unique.
Unless expressly agreed otherwise in writing, PipesHub does not guarantee the accuracy,
completeness, legality, or fitness of any Output, and Customer remains responsible for
human review and final decisions.
PipesHub will not use Customer Materials to train shared foundation models or third-party LLMs for general-purpose model training without Customer's explicit written consent. PipesHub may use Customer Materials only as necessary to provide, secure, maintain, support, debug, and improve the reliability and safety of the Services in accordance with this Agreement and applicable law.
11. Data Processing, Privacy, and Security
PipesHub will process Customer Materials only as necessary to provide, secure, maintain,
and support the Services and as otherwise permitted by this Agreement, the applicable
Order Form, Customer instructions, or applicable law.
PipesHub will maintain commercially reasonable administrative, technical, and
organizational safeguards designed to protect Customer Materials against unauthorized
access, disclosure, alteration, and destruction.
For the SaaS offering, PipesHub is responsible for the security of the hosted application
environment under its control.
For a Customer Deployment, PipesHub is responsible for the security of the PipesHub
software and managed components it provides, while Customer is responsible for the
security and operation of Customer-controlled infrastructure, cloud configuration, access
management, network controls, and any third-party components operated by Customer
unless otherwise stated in an Order Form.
To the extent PipesHub processes personal data on Customer's behalf, the parties may
enter into a separate data processing addendum.
12. Confidentiality
Each party may disclose non-public business, technical, financial, product, or security
information to the other party ("Confidential Information"). The receiving party will:
• use the disclosing party's Confidential Information only to perform or exercise its rights
under this Agreement;
• protect the Confidential Information using reasonable care, and at least the same degree
of care it uses to protect its own similar confidential information; and
• disclose the Confidential Information only to personnel, contractors, advisors, and service
providers who have a need to know and are bound by confidentiality obligations at least as
protective as those in this Agreement.
Confidential Information does not include information that the receiving party can
demonstrate:
• is or becomes public through no fault of the receiving party;
• was already known to the receiving party without confidentiality obligations;
• is lawfully received from a third party without confidentiality restrictions; or
• was independently developed without use of the disclosing party's Confidential
Information.
A receiving party may disclose Confidential Information if required by law, regulation, or
court order, provided it gives notice where legally permitted and reasonably cooperates
with any effort to limit the disclosure.
13. Term and Renewal
13.1 Community Edition and Open-Source Software
For hosted Community Edition services, this Agreement begins when Customer first
accesses or uses the applicable service and continues until terminated by either party.
For software distributed under Apache 2.0, Customer's rights continue under the terms of
that license.
13.2 Paid Services
For paid Services, the initial term and any renewal terms will be stated in the applicable
Order Form. Unless otherwise stated in the Order Form, subscriptions renew automatically
for successive one-year periods unless either party gives written notice of non-renewal at
least thirty (30) days before the end of the then-current term.
14. Termination
Either party may terminate this Agreement or an affected Order Form for material breach if
the breach remains uncured thirty (30) days after written notice.
PipesHub may suspend or terminate the Services immediately upon notice if Customer:
• materially violates Section 4 (Restrictions);
• is more than thirty (30) days late on undisputed payment obligations;
• uses the Services in a way that creates material security, legal, or reputational risk; or
• becomes subject to sanctions or export restrictions that prohibit continued performance.
Customer may stop using the Community Edition or any hosted Services at any time.
Termination of this Agreement or any Order Form does not terminate or revoke rights that
Customer holds under Apache 2.0 in software already distributed under that license,
except as provided in Apache 2.0 itself.
15. Effects of Termination
Upon expiration or termination of the applicable Services:
• Customer's rights to access and use those Services end;
• PipesHub may disable access to accounts, APIs, and administrative features;
• accrued payment obligations survive; and
• each party remains bound by provisions that by their nature should survive termination.
For paid Services, Customer may request export of Customer Materials during the period
stated in the applicable Order Form or, if none is stated, within thirty (30) days after
termination. After that period, PipesHub may delete Customer Materials from production
systems, subject to routine backups, legal retention obligations, and technical constraints.
For hosted Community Edition services, PipesHub may suspend, modify, or delete service
environments or data at any time, including after inactivity.
For clarity, this Section addresses hosted services and managed environments. It does not
require Customer to stop using software already distributed to Customer under Apache
2.0.
16. Warranties and Disclaimers
16.1 Mutual Authority
Each party represents that it has the power and authority to enter into this Agreement.
16.2 Limited Service Warranty for Paid Services
PipesHub warrants that paid Services will perform in material conformity with the
applicable documentation when used in accordance with this Agreement and the
documentation.
Customer's exclusive remedy, and PipesHub's sole obligation, for breach of this warranty
will be for PipesHub to use commercially reasonable efforts to correct the non-conformity,
provide a reasonable workaround, or if PipesHub cannot do so within a commercially
reasonable period, terminate the affected Service and refund any prepaid fees covering
the unused portion of the affected subscription term.
16.3 Community, Preview, and Open-Source Disclaimer
The Community Edition, preview features, beta features, no-charge hosted offerings, and
software distributed under Apache 2.0 are provided on the terms applicable to those
offerings. To the extent permitted by law and except as expressly stated otherwise in
writing, no-charge hosted offerings are provided "as is" and "as available" without
warranties, support commitments, or service credits.
16.4 General Disclaimer
Except as expressly stated in this Agreement, the Services are provided "as is" and "as
available," and PipesHub disclaims all implied warranties, including warranties of
merchantability, fitness for a particular purpose, title, non-infringement, and uninterrupted
or error-free operation.
Nothing in this Agreement modifies any disclaimer language included in Apache 2.0 for
software licensed under that open-source license.
17. Indemnification
17.1 By Customer
Customer will defend, indemnify, and hold harmless PipesHub and its affiliates, officers,
directors, employees, and contractors from third-party claims arising out of or related to:
• Customer Materials;
• Customer's use of the Services in violation of this Agreement or applicable law; or
• Customer's infringement or misappropriation of third-party rights through Inputs, data,
workflows, or connected systems supplied by Customer.
17.2 By PipesHub
PipesHub will defend, indemnify, and hold harmless Customer from third-party claims
alleging that the paid Services, as provided by PipesHub and used by Customer in
accordance with this Agreement, directly infringe a third party's intellectual property
rights.
PipesHub will have no obligation under this section to the extent a claim arises from:
• Customer Materials;
• Third-Party Services;
• modifications not made by PipesHub;
• use in combination with items not supplied or approved by PipesHub; or
• use of the Services in violation of this Agreement or documentation.
17.3 Process
The indemnified party must promptly notify the indemnifying party of the claim,
reasonably cooperate in the defense, and allow the indemnifying party to control the
defense and settlement, except that the indemnifying party may not settle a claim in a
manner that admits fault or imposes obligations on the indemnified party without prior
written consent.
18. Limitation of Liability
To the maximum extent permitted by law:
• neither party will be liable for any indirect, incidental, special, punitive, or consequential
damages, or for lost profits, lost revenues, lost goodwill, loss of use, loss of data, or
business interruption, even if advised of the possibility of such damages; and
• each party's aggregate liability arising out of or related to this Agreement will not exceed
the amounts paid or payable by Customer to PipesHub under the applicable Order Form
during the twelve (12) months preceding the event giving rise to the claim.
The foregoing limitations do not apply to:
• Customer's payment obligations;
• either party's confidentiality obligations;
• either party's indemnification obligations; or
• Customer's breach of Sections 3 or 4 to the extent the limitation is unenforceable under
applicable law.
Nothing in this Agreement modifies the limitation of liability language applicable under
Apache 2.0 to software licensed under that open-source license.
19. Export Controls and Sanctions
Customer will not access, use, export, re-export, or transfer the Services in violation of
applicable export control, sanctions, or trade laws. Customer represents that it is not
located in, organized in, or ordinarily resident in any country or region subject to
comprehensive sanctions that would prohibit PipesHub from providing the Services.
20. Open-Source License Notices
Customer acknowledges that certain components of the Platform may be distributed
under one or more open-source licenses, including Apache 2.0. For any such components:
• the applicable open-source license governs Customer's rights in that component;
• PipesHub will make the applicable license notices available in the relevant repository,
distribution package, or documentation; and
• if this Agreement conflicts with the applicable open-source license for that component,
the open-source license controls with respect to that component.
Customer's use of PipesHub's hosted services, proprietary modules, commercial support,
managed deployments, trademarks, and other non-open-source offerings remains
governed by this Agreement and any applicable Order Form.
21. Miscellaneous
21.1 Assignment
Customer may not assign this Agreement without PipesHub's prior written consent, except
in connection with a merger, acquisition, or sale of substantially all of Customer's assets
involving Customer and not a competitor of PipesHub. PipesHub may assign this
Agreement in connection with a merger, acquisition, corporate reorganization, or sale of
assets.
21.2 Force Majeure
Neither party will be liable for delay or failure to perform due to causes beyond its
reasonable control, except for Customer's payment obligations.
21.3 Entire Agreement
This Agreement, together with all incorporated Order Forms and referenced addenda, is
the complete agreement between the parties regarding its subject matter and supersedes
prior or contemporaneous understandings relating to that subject matter.
21.4 Amendment and Waiver
Any amendment must be in writing, except that PipesHub may update the Community
Edition or website terms from time to time by posting revised terms. No waiver is effective
unless in writing.
21.5 Severability
If any provision of this Agreement is held unenforceable, the remaining provisions will remain in effect.
21.6 Governing Law and Venue
This Agreement is governed by the laws of the State of Delaware, without regard to conflict of laws principles. Subject to any agreed arbitration provision in an applicable Order Form, the state and federal courts located in Delaware will have exclusive jurisdiction over disputes arising out of or relating to this Agreement, and each party consents to that jurisdiction and venue.
